Billing, Subscription, RFQ Unlock, and Success Fee Terms

1. Scope
These Billing Terms apply to all paid ChemCapital services, including subscriptions, one-off feature charges, RFQ unlock fees, invoiced fees, and supplier success fees.
2. Paid services
ChemCapital may offer: a) recurring subscriptions for procurement users; b) recurring subscriptions for suppliers; c) one-off RFQ unlock fees; d) supplier success fees on attributable platform business; e) enterprise or custom commercial arrangements under separate written terms.
3. Pricing
Fees are those stated on the pricing page, checkout page, invoice, order form, or other written commercial document in effect at the time of purchase or renewal.
4. Trials and free plans
ChemCapital may offer trial periods, free plans, free RFQ allowances, onboarding grace periods, or promotions. Unless expressly stated otherwise, free or promotional access may be modified, ended, or withdrawn prospectively.
5. Subscription billing
Subscriptions renew automatically for the stated billing period unless cancelled before the next renewal date.
You authorise ChemCapital and its payment providers to charge the applicable recurring fees, taxes, and permitted adjustments using the chosen payment method.
6. RFQ unlocks
Certain supplier-side access or RFQ participation may require a one-off unlock payment. Once the unlock has been granted and the service has been made available, the fee is generally non-refundable except where required by law or where ChemCapital agrees otherwise in writing.
7. Success fees
Where a supplier success fee applies, the supplier agrees to pay the applicable fee for attributable platform business.
Unless otherwise agreed in writing, ChemCapital’s current standard success-fee structure may include a fee of up to 2 percent of attributable transaction value, capped at EUR 20,000 per attributable transaction, subject to promotions, waivers, enterprise terms, or other written adjustments.
A transaction may be treated as attributable where it results from, follows from, or is materially facilitated by platform activity, including RFQs, invitations, submissions, communications, quotation exchange, comparison workflows, or related introductions.
8. Invoices and taxes
ChemCapital may issue invoices electronically. You are responsible for providing accurate billing details, tax details, and business information.
Fees are exclusive of VAT and other taxes unless clearly stated otherwise. You are responsible for taxes that apply to your purchase or use of the services, other than taxes based on ChemCapital’s own net income.
9. Payment provider
ChemCapital may use third-party payment processors, including Stripe, to process subscriptions, payment authorisations, invoice payments, and related billing services. Their terms may also apply to the payment transaction itself.
10. Failed payment, late payment, and suspension
If a payment fails, is reversed, or remains overdue, ChemCapital may: a) retry payment; b) suspend paid features or account access; c) restrict new activity; d) issue invoices or reminders; e) recover reasonable costs of collection where lawful.
11. Cancellation and downgrade
You may cancel renewal at any time before the next billing cycle. Cancellation generally stops future renewals but does not automatically entitle you to a refund for the current paid period unless required by law or expressly agreed.
12. Refunds
Except where required by law or expressly agreed by ChemCapital in writing: a) subscription fees are non-refundable once the paid period has begun; b) RFQ unlock fees are non-refundable once access has been granted; c) success fees remain payable where attributable business has occurred.
13. Changes to pricing
ChemCapital may change pricing prospectively. Updated pricing will apply to new purchases immediately and to renewals after reasonable notice where required.
