Buyer Terms

1. Scope
These Buyer Terms apply to procurement teams, sourcing teams, engineering teams, project users, and other organisations using ChemCapital to create projects, issue RFQs, compare quotations, invite suppliers, review supplier submissions, and manage related sourcing workflows.
These Buyer Terms supplement the Terms of Use. If there is a conflict, these Buyer Terms apply to buyer-specific activity.
2. Buyer responsibility
You are solely responsible for your own sourcing, procurement, engineering, qualification, approval, sanctions, KYC/KYB, export-control, commercial, and contracting decisions.
You are responsible for: a) defining your own technical and commercial requirements; b) validating supplier suitability; c) checking technical compatibility, legal compliance, and certifications; d) carrying out internal approvals and governance; e) confirming that requested goods or services are lawful and appropriate for the intended end use; f) ensuring that issued purchase orders and contracts reflect your own intentions.
ChemCapital does not select suppliers for you, act as your procurement agent, guarantee supplier performance, or assume responsibility for your final buying decision.
3. RFQs, projects, and invitations
You must ensure that RFQs, project data, attachments, and communications are accurate, lawful, and professionally appropriate.
You must not use the platform to seek quotes or issue procurement requests for prohibited end uses, unlawful items, deceptive projects, or transactions designed to evade sanctions, export controls, competition rules, procurement rules, or other legal obligations.
4. Quotations and comparisons
Any quote comparison, ranking, structured extraction, scoring, or AI-assisted output is a support tool only. It does not replace your own technical, commercial, legal, safety, or quality review.
You remain solely responsible for: a) reviewing the source documents; b) checking extraction accuracy; c) checking assumptions and weightings; d) identifying omissions and qualification notes; e) making the final supplier selection.
5. Purchase orders and contracts
Any purchase order issued through or following platform use is issued by you, not by ChemCapital. The resulting contract is between you and the supplier unless expressly stated otherwise in a separate signed agreement.
6. Confidentiality and access control
You are responsible for restricting project access to authorised users and for using role controls responsibly. You must not upload information you are not authorised to disclose.
7. Fees
Where buyer-side subscriptions or paid features apply, you agree to pay fees in accordance with the Billing Terms, pricing page, or other agreed commercial terms.
8. End-use restrictions
You must not use ChemCapital to source or support: a) weapons, munitions, explosives, or energetics; b) chemical warfare capability or prohibited defence applications; c) sanctioned or restricted end users or destinations; d) illegal controlled substances or unlawful manufacturing activity; e) any end use prohibited by applicable law.
9. Suspension
ChemCapital may suspend or restrict buyer accounts, projects, RFQs, invitations, or documents where we reasonably suspect breach, misuse, prohibited activity, or legal exposure.
10. Liability and indemnity
You remain fully responsible for your procurement activity, supplier selection, internal approvals, issued purchase orders, and end-use compliance. You will indemnify ChemCapital for claims arising from your conduct, your RFQs, your purchase decisions, or unlawful or prohibited use.
11. Governing law
These Buyer Terms follow the governing-law clause in the Terms of Use.
