Supplier Terms

1. Scope

These Supplier Terms apply to any supplier, manufacturer, distributor, service provider, agent, reseller, or other commercial seller using ChemCapital to receive RFQs, submit quotations, publish company or product information, receive purchase-order-related communications, or otherwise pursue business opportunities.

These Supplier Terms supplement the Terms of Use. If there is a conflict, these Supplier Terms apply to supplier-specific activity.

2. Supplier role and responsibility

You are solely responsible for all goods, services, systems, documents, representations, technical statements, certifications, and commercial commitments you provide.

You are responsible for ensuring that: a) your products and services are lawfully offered and supplied; b) your quotations are accurate and not misleading; c) any technical, regulatory, quality, safety, GMP, CE, ATEX, material, origin, export, or other compliance statements are truthful and supportable; d) you have conducted your own customer, sanctions, export, and end-use review; e) your own sales, supply, manufacturing, logistics, warranty, and after-sales obligations are properly managed.

ChemCapital does not verify every supplier statement, quote, or certification and does not assume responsibility for your products or performance.

3. Listings and submissions

You may create supplier profiles, upload documents, submit quotations, upload attachments, and respond to buyer requests. All information you provide must be complete, current, and accurate to the best of your knowledge.

You must not upload or submit: a) forged, expired, or misleading certifications; b) deceptive pricing or false lead times; c) unlawful products or services; d) restricted materials or controlled items without proper legal basis and disclosure; e) content you do not have the right to use.

4. Off-platform quotation submission

If ChemCapital permits quotation submission without a full account, you remain bound by these Supplier Terms, the Terms of Use, and the Acceptable Use and Prohibited End Uses Policy.

You must not use off-platform quotation mechanisms to evade fees, attribution rules, or compliance obligations.

5. Attributable transactions and platform fees

Where your use of ChemCapital gives rise to subscriptions, RFQ unlock fees, success fees, or other commercial charges, you agree to pay those fees in accordance with the Billing Terms, pricing page, order form, or other written commercial terms.

Unless otherwise agreed in writing, a transaction may remain attributable to ChemCapital where it results from, follows from, or is materially facilitated by an RFQ, introduction, communication, document exchange, quotation, or negotiation initiated or handled through the platform, whether the final contract is completed on or off the platform.

6. No circumvention

You must not intentionally structure activity to avoid agreed platform fees for platform-generated or platform-facilitated business.

7. End-use and restricted activity checks

You must not submit a quotation, continue a transaction, or supply products or services through ChemCapital where: a) you know or reasonably suspect the end use is prohibited; b) the buyer, end user, destination, or transaction appears sanctioned or unlawfully restricted; c) the request involves weapons, munitions, explosives, energetics, chemical warfare applications, unlawful military use, or other prohibited end uses; d) the transaction would require licences, declarations, or approvals that have not been obtained.

You must escalate such concerns immediately and stop the relevant activity unless and until lawfully resolved.

8. Buyer relationship and underlying contract

Any underlying sale or supply contract is between you and the buyer. You are responsible for your own commercial terms, acceptance, pricing, delivery, warranties, performance, and dispute handling.

9. Suspension and removal

ChemCapital may reject, remove, delist, suspend, or restrict supplier profiles, products, documents, or quotations where we reasonably suspect breach, misuse, compliance risk, prohibited end use, fraud, or legal exposure.

10. Liability and indemnity

You remain fully responsible for your products, services, representations, certifications, quotations, and supply performance. You will indemnify ChemCapital for claims arising from your conduct, your products, your compliance failures, or your prohibited or unlawful activity.

11. Governing law

These Supplier Terms follow the governing-law clause in the Terms of Use.
